The Setup
Following our September 19 note, ICTSI signed a share purchase agreement for the 30% of iTracker Logistica Inteligente it did not already own, paying cash for a stake worth less than 10% of consolidated shareholders' equity. The buyout came days after ICTSI signed a term loan with BDO. ICT closed at ₱920, up 95% from its 52-week low of ₱471.60 on Sep. 30, 2025 but about 10% below its July 20 high of ₱1,027, with net foreign buying and a flat past month. Our momentum read on ICT is Bullish.

Our Read
The funding matters more than the bolt-on. A $1 billion facility with a 10-year tenor pre-funds the next leg of terminal expansion on long-dated bank money, so growth capex does not depend on equity issuance or near-term cash flow from Durban while that terminal works through its disruption. The iTracker buyout, by contrast, is a small, cash-settled step that deepens ICTSI's intermodal offer around Rio without moving group numbers. The takeaway: ICTSI's growth pipeline is financed, and the stock sits below its July high on operating noise rather than any change in that pipeline.
Vini Research Desk rates ICT a Buy, seeing about 22% upside to our fair value of ₱1126.50. Secured long-term funding for expansion supports future capital appreciation and dividend growth for ICT, which benefits holders of the Passive Income Plan and Smart Momentum Quant Plan.
What We're Watching
- Third-quarter results, for Durban throughput recovery and storage-fee normalization
- Allocation of the BDO proceeds to named terminal projects
- Full-year audited statements, for the iTracker purchase price
