Highlights
- Shareholders approved DHI’s acquisition of 100% of Sagittarius Mines’ voting rights through Indophil and Sonar.
- 29.75 billion authorized common shares versus 2.162 billion outstanding permit up to roughly 13 times the current share count.
The Setup
DHI shareholders approved the merger with Indophil Resources Phils. and Sonar Holdings, with DHI as the surviving entity, giving it 100% of Sagittarius Mines’ voting rights. Shareholders also approved a waiver of the rights or public offer for DHI shares to be issued to Indophil and Sonar shareholders. The share-swap ratio is fixed at book-to-book value using audited interim financial statements for the period ended Aug. 31, 2026, with Indophil and Sonar assets and liabilities conveyed to DHI. The two domestic holding companies control Sagittarius Mines, holder of the FTAA for the Tampakan Copper-Gold Project in South Cotabato. DHI last traded at ₱15.60 on Aug. 19, 2026, its 52-week high, after rallying 1,257% from its ₱1.15 low on Nov. 7, 2025.

Our Read
Control of Sagittarius Mines makes DHI the listed vehicle for the Tampakan FTAA, shifting the investment case toward converting that control into an advanceable mining project. At its ₱33.73 billion market capitalization, the market appears to be paying for a credible path to Tampakan, with eventual value depending on project progress and the post-merger ownership outcome. Authorized common shares rise to 29.75 billion against 2.162 billion outstanding, so the merger can issue up to roughly 13 times the current share count, creating dilution of that scale for existing holders. The Smart Momentum Quant Plan holds DHI, and holders can act only after trading resumes once DHI has complied with remaining PSE requirements.
