The Setup
Shareholders approved the roughly ₱20 billion purchase of four malls and three hotels from sponsor Ayala Land on Sept. 23. We covered the deal on Oct. 7. Six assets are paid in new AREIT shares, and Fairmont Raffles Hotel Makati is paid with ₱2.6 billion in cash. The Oct. 8 disclosure linked below is from VistaREIT, Inc. (VREIT), a separate REIT approving the release of its own 2025 audited financials, and VREIT is not a party to AREIT's swap. AREIT is trading near its 52-week low of ₱35.70 from Oct. 1, 2026, up just 3% and well below the ₱44.70 high of Jan. 29, 2026, with the stock down 0.54% over the month despite net foreign buying; our momentum read on AREIT is Bearish.

Our Read
The number that matters is the issue price. Ayala Land is taking AREIT stock at ₱37.48, a premium to what public buyers pay today. The dilution is fixed: about 462.5 million new shares against 4,156,887,818 outstanding, roughly 11% for existing holders. In return, direct mall leases capture rent escalations and hybrid hotel leases add base rent plus performance participation. That lifts retail to 33% and hotels to 9% of a portfolio of about ₱179 billion.
Vini Research Desk rates AREIT a Buy, seeing about 27% upside to our fair value of ₱46.80. The added mall and hotel income supports future dividend growth and capital appreciation, which benefits holders of the Passive Income Plan.
What We're Watching
- SEC approval of the property-for-share issuance
- Closing of the Fairmont cash leg ahead of the swap
- Ayala Land sell-down to keep the 36.18% public float above the REIT minimum
