Highlights

  • Ayala Land and three other top developers cut aggregate 2026 capex 25% and are redirecting spending toward investment properties, AREIT's core asset class.
  • AREIT's approved property-for-share swap with Ayala Land is priced at ₱37.48 per share, above where the stock now trades.
  • Vini Research Desk rates AREIT a Buy, ~27% upside to our ₱46.80 fair value.

The Setup

In its October Southeast Asian property report, S&P Global Ratings said Ayala Land, Megaworld, SM Prime and Robinsons Land cut their aggregate 2026 capex budget 25% from initial plans and are shifting spending from residential development to investment properties. AREIT shareholders approved on Sept. 23 a roughly ₱20 billion acquisition of four malls and three hotels from Ayala Land, with six assets paid via a ₱17.3 billion share swap and Fairmont Raffles Hotel Makati bought for ₱2.6 billion in cash. AREIT is trading near its 52-week low of ₱35.70 set on Oct. 1, 2026, up just 3% from that level and well below the ₱45.20 high of a year ago, even with net foreign buying; our momentum read on AREIT is Bearish.

Our Read

The number that matters is the swap price: Ayala Land is taking AREIT stock at ₱37.48 per share, about 2% above the current price, so the sponsor is accepting paper valued above what public buyers now pay. The S&P findings point the same way: a sponsor moving capex into investment properties is building the next round of injectable assets, yet the ₱153.4 billion market cap prices AREIT as if the residential slump were its own problem.

Vini Research Desk rates AREIT a Buy, seeing about 27% upside to our fair value of ₱46.80. A deeper sponsor pipeline of leased malls and hotels supports future dividend growth and capital appreciation, which benefits holders of the Passive Income Plan.

What We're Watching

  • Closing of the cash Fairmont Raffles purchase, expected ahead of the swap
  • Issuance and listing of the swap shares
  • First dividend declaration reflecting the acquired malls and hotels
