The Setup

AREIT stockholders approved the issuance of 462,481,990 primary common shares to Ayala Land, Inc. and four of its subsidiaries in exchange for six commercial properties valued at ₱17.33 billion, a figure backed by a third-party fairness opinion. The issue price of ₱37.48 per share was set at a premium to the 30-day volume-weighted average price of ₱37.29. Our momentum read on AREIT is Bearish.

Our Read

The sponsor is accepting AREIT paper at today's price as full payment for its assets, so the current quote is a level Ayala Land itself treats as fair value for its own properties, not a distressed mark. Against 4,156,887,818 shares outstanding, the new shares dilute existing holders by about 11%. That dilution is funded entirely with equity, adding no debt. At the sponsor's own entry price, buyers pay no premium for that upside.

Vini Research Desk rates AREIT a Buy, seeing about 19% upside to our fair value of ₱44.80. The six-property infusion widens AREIT's rent base and supports future dividend growth and capital appreciation, which benefits holders of the Passive Income Plan.
