Highlights
- Mitsubishi Corporation will commit close to ₱40 billion for roughly 60.8M Ayala Corporation common shares plus a new voting-preferred class — every leg priced at ₱650 per common share.
- ₱650 is about 22% above AC's ₱533 last close and sits above the stock's ₱600 52-week high — a level the market has not set on its own.
- AC will run a voluntary tender offer for up to 30,067,392 common shares at ₱650, an optional premium exit for minority holders.
The Setup
On September 21, 2026, Ayala Corporation's board approved — and the company then signed — an expanded Investment Agreement with Japan's Mitsubishi Corporation. AC will issue Mitsubishi 14,595,231 new "carved-out" common shares at ₱650 (≈₱9.5B) and a new class of 71,858,808 voting preferred "X" shares at ₱1.00 each (≈₱72M) that carry votes rather than economics. AC will also sell Mitsubishi 46,241,392 treasury common shares at ₱650 (≈₱30.1B), and tender for up to 30,067,392 of its own shares at the same ₱650. AC's latest close was ₱533, having firmed from the ₱480–₱510 range earlier in the month but still below its ₱600 annual high (52-week range ₱385–₱600).
- Last Price
- ₱533.00

Our Read
Our read is that a blue-chip strategic partner paying above the 52-week high is a concrete, premium vote of confidence in Ayala's asset base — a firmer signal than any broker target, because real money is being committed at ₱650. For minority holders, the tender is optional liquidity at that premium; for everyone else, the read-through is that a sophisticated, long-term investor values AC well north of where it has been trading. The peso-priced preferred line looks built to hand Mitsubishi votes rather than economics, so the deal deepens both its capital and its say. The catch: the agreement is signed but not closed — the share movements hinge on stockholder and SEC approval of the Articles of Incorporation amendments and on completion of the tender offer.
What We're Watching
- The stockholders' vote on the charter amendments — the switch that turns a signed agreement into a done deal
- Take-up and mechanics of the voluntary tender offer at ₱650
- SEC approval of the new "carved-out" common and voting preferred "X" share classes
